These Terms & Conditions ('Terms') form a legally binding agreement between you ('User', 'You', 'Business') and SimpleAgentix Private Limited ('SimpleAgentix', 'We', 'Us'), the operator of the SimpleAgentix Business Sarathi B'OS platform at simpleagentix.in. By creating an account, purchasing coins, or using any part of the platform, you accept these Terms.
1. The Service
SimpleAgentix provides a voice-native agentic business operating system including AI agents, workflows, integrations, reporting and associated services ('the Platform'). The Platform is provided as an automation service (AaaS) — SimpleAgentix does not provide legal, tax, accounting or investment advice. Automated outputs, including GST computations, are assists to be reviewed by a qualified professional before filing.
2. Eligibility & Accounts
You must be at least 18 years old and legally capable of entering a contract. You are responsible for all activity under your account, for keeping credentials confidential, and for the accuracy of business information you provide. One business may operate under one subscription unless a multi-branch plan is purchased.
3. Coins & Payments
All 24 agents are available on every plan; coins are consumed only when agents perform work. Coin costs are disclosed before execution. Purchased coins are non-refundable except as set out in the Refund Policy. Fees are exclusive of applicable GST, which is charged at the prescribed rate. Auto-renewal continues until you cancel from Billing.
4. Acceptable Use
You agree to use the Platform only for lawful business purposes in compliance with all applicable Indian laws, including the IT Act 2000, the DPDP Act 2023, GST laws and RBI regulations. You may not use the Platform to send unlawful or misleading communications, recover debts through harassment, process sensitive personal data unlawfully, or attempt to reverse-engineer the service.
5. Data & Privacy
Your business data is processed under the Privacy Policy, the Data Processing Addendum and our DPDP Act 2023 Compliance framework. You retain ownership of your data. SimpleAgentix processes data only to execute workflows and improve the service, subject to the purpose limitations in those documents.
6. Intellectual Property
The Platform, agents, algorithms, brand assets and documentation are owned by SimpleAgentix. You retain all rights in your business data and creative outputs (invoices, campaigns, reports) generated on your behalf. You may not copy, resell or sublicense the Platform except through the API Terms or Partner Agreement.
7. Disclaimer & Liability
The Platform is provided 'as is' with best-effort accuracy. To the maximum extent permitted by law, SimpleAgentix is not liable for indirect, incidental or consequential damages, nor for losses arising from decisions made on automated outputs. Our aggregate liability is limited to the fees paid by you in the 3 months preceding the claim. Nothing limits liability for fraud, gross negligence or wilful misconduct.
8. Termination
You may terminate at any time from Billing. We may suspend or terminate accounts that breach these Terms, endanger the platform or other users, or fail to pay. Upon termination, your data remains exportable for 60 days; thereafter it is deleted under our data retention schedule.
9. Changes & Jurisdiction
We may update these Terms with 30 days' notice on this page. Continued use after notice constitutes acceptance. These Terms are governed by the laws of India; courts at Kolkata, West Bengal have exclusive jurisdiction.
